Contando Pollos — macOS Invoicing & Time Tracking

1. Acceptance of Terms

By downloading, installing, or using Contando Pollos ("the App", "the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the application. These Terms constitute a legally binding agreement between you ("User", "you") and the developers of Contando Pollos ("we", "us", "our").

2. Description of the Application

Contando Pollos is a native macOS application designed to help freelancers, contractors, and small businesses create invoices and track time. The application operates entirely offline on your local device. It does not require an account, does not connect to external servers, and does not transmit any data over the internet.

3. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

Download and install the App on macOS devices that you own or control
Use the App solely for your personal or internal business purposes

This license does not permit you to:

Copy, modify, distribute, sell, or sublicense the App or any portion thereof
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
Remove or alter any proprietary notices, labels, or marks on the App
Use the App for any unlawful purpose or in violation of any applicable laws or regulations

4. Intellectual Property

Contando Pollos, including its name, logo, interface design, code, and documentation, is the exclusive intellectual property of its developers and is protected by applicable copyright, trademark, and other intellectual property laws. All rights not expressly granted in these Terms are reserved.

5. User Responsibilities

You are solely responsible for:

The accuracy and legality of any invoices, client data, financial records, or other content you create using the App
Complying with all applicable tax laws, billing regulations, and professional standards in your jurisdiction
Maintaining adequate backups of your local application data
Ensuring that your use of the App does not infringe on the rights of any third party

Contando Pollos is a productivity tool only. It does not provide legal, tax, financial, or accounting advice. You should consult qualified professionals for such guidance.

6. No Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
Warranties that the App will meet your requirements or expectations
Warranties that the App will be uninterrupted, error-free, or free of viruses or other harmful components
Warranties regarding the accuracy, reliability, or completeness of any output generated by the App

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, business, or goodwill
Damages arising from your reliance on the App for invoicing, billing, tax filings, or financial decisions
Loss or corruption of your local data

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless Contando Pollos and its developers, officers, agents, and successors from and against any claims, liabilities, damages, judgments, penalties, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content you create, store, or transmit using the App.

9. macOS Platform Requirements

The App is designed exclusively for macOS. You are responsible for ensuring that your device meets the minimum system requirements published in the App Store listing. We reserve the right to update minimum requirements with new versions of the App. We are not responsible for any incompatibility between the App and your operating system, hardware, or other installed software.

10. Updates and Modifications

We may release updates, patches, or new versions of Contando Pollos from time to time. Updates may be delivered automatically through the Mac App Store or manually by the user. We reserve the right to modify, suspend, or discontinue the App at any time without prior notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the App.

We also reserve the right to modify these Terms at any time. Updated Terms will be made available within the App and/or on our official website. Your continued use of the App after changes are posted constitutes your acceptance of the revised Terms.

11. Termination

These Terms are effective until terminated. Your rights under these Terms will terminate automatically, without notice, if you fail to comply with any of their provisions. Upon termination, you must cease all use of the App and delete all copies in your possession. Sections 4 (Intellectual Property), 6 (No Warranties), 7 (Limitation of Liability), 8 (Indemnification), and 12 (Governing Law) shall survive termination.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the App shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction, as required by applicable law.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Contando Pollos with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, representations, warranties, and understandings.
